1. Name the company
The business name must be unique, i.e. it must not be registered in the Commercial register. If you want to check the originality of the name, you can click on the website www.orsr.sk. 2. Choose the company’s registered office
You can open a company in Slovakia with its headquarters in your apartment, house or non-residential space, or use the offer of virtual offices. You will need the written consent of the property owner in order for the property to be registered as the company’s registered office in the Commercial Register or a lease agreement. If the property has several owners, you will need the written consent of an absolute majority of the co-owners and the signatures of the co-owners must be officially verified.
3. Designate managers and partners of
the company
The persons who establish the company must agree on who will be the partner of the company (owner) and who will be the manager (director) responsible for the management of the company. The same person can be a partner and a managing director.
4. Select types of business
You can choose from various types of business – from free sole proprietorship, business requiring professional or handicraft industry. In the case of business requring professional and handicraft industry, it is necessary to document professional competence in the given field (education or practice) or to appoint a responsible representative who meets the conditions stipulated by law.
5. Obtain the consent of the tax administrator
Partners in company must not have indebtedness to the Tax Office, Social Insurance Agency and no execution may be conducted against them. If one of the partners has indebtedness, he must pay them and then request the consent of the tax administrator. Indebtedness to Health Insurance Company is not an obstacle to the establishment of Ltd.
6. Elaborate the statutory documents
If the company has several partners, articles of partnership agreement is required. If the company is established by a single partner, articles of incorporation is required.
7. Verify signatures on documents
The signatures on the documents must be verified either at the registry office or directly with the notary. If the persons are abroad, the Embassy of the Slovak Republic can be used for these purposes.
9. How to apply for the issue of trade licenses?
The application together with the documents can be submitted in person or electronically at the Trade Licensing Office and the relevant fee must be paid for each type of business.
10. How to enter in the Commercial Register?
A proposal for entry in the Commercial Register may be submitted exclusively in electronic form.
11. How to register at the Tax Office?
Each company is obliged to register with the Tax Office for the payment of income tax within 30 days of the registration of the company in the Commercial Register. The Tax Office has 30 days to assign the company VAT identification number and provide the company with a certificate of registration for income tax.
12. Do not forget to activate the electronic data box!
The electronic mailbox is used for communication with public administration offices. If the manager does not log in to the electronic mailbox himself, the state automatically activates this mailbox within 10 days of registration in the Commercial Register.
